Terms of Service

1. Eligibility

You must be able to form a binding contract under applicable law to use the Service.
If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" will refer to that entity.

2. Description of the Service

UniDub.io is an online platform that provides AI-based audio and video processing, including but not limited to:

1. Subtitle extraction and generation
2. Translation between multiple languages
3. Text-to-speech and AI voice generation
4. Voice and background music separation

We may add, change, suspend, or discontinue any feature of the Service at any time, with or without notice.

3. Account Registration

To use certain features, you may need to create an account and provide accurate, complete information.

You are responsible for:

1. Maintaining the confidentiality of your login credentials
2. All activities that occur under your account

You must notify us immediately if you suspect unauthorized use of your account.

4. User Content and Responsibility

"User Content" means any audio, video, text, image, or other material you upload, submit, or process through the Service.

You retain ownership of your User Content. These Terms do not grant us any ownership rights in your content.

By using the Service, you represent and warrant that:

1. You have all necessary rights, licenses, and permissions to use and process the User Content;
2. Your use of the Service and your User Content do not infringe or violate any third-party rights, including copyright, privacy, publicity, or other rights;
3. Your User Content and use of the Service comply with all applicable laws and regulations.

You are solely responsible for your User Content and for any consequences of using or publishing it.

5. License to Use the Service / Processing of Content

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, and transform your User Content solely for the purpose of providing the Service to you (e.g., generating subtitles, translations, or audio outputs).

We do not use your User Content to train public models unless we obtain your separate explicit consent.

We may generate temporary copies or intermediate data strictly as needed to operate the Service; such data may be retained for a limited period for processing, logging, and system security.

6. Prohibited Uses

You agree not to use the Service to:

1. Upload or process any content that is illegal, defamatory, abusive, harassing, hateful, discriminatory, or otherwise objectionable;
2. Infringe or violate the intellectual property, privacy, or other rights of any third party;
3. Generate, distribute, or assist in the creation of spam, fraudulent, deceptive, or misleading content;
4. Violate any applicable law or regulation;
5. Reverse engineer, decompile, or attempt to obtain the source code of the Service;
6. Interfere with or disrupt the operation of the Service, including by overloading the system, bypassing technical protections, or attempting unauthorized access.

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated these Terms.

7. Payments, Subscription, and Credits

Access to certain features of the Service may require payment of fees, subscriptions, or the purchase of usage credits.

All prices, billing cycles, and payment terms will be displayed on our website or in the Service interface and may be updated from time to time.

You authorize us and our payment processors (e.g., Stripe) to charge your selected payment method for all applicable fees.

Unless otherwise stated, fees are non-refundable, except as described in our separate Refund Policy.

Subscription plans will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

8. Intellectual Property Rights

The Service, including all software, algorithms, user interface, design, and content (excluding your User Content), is our property or the property of our licensors, and is protected by copyright and other laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or personal purposes.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof, unless expressly permitted by us.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE".

We do not guarantee that:

1. The Service will be uninterrupted, secure, or error-free;
2. The outputs (e.g., subtitles, translations, voice generation) will be perfectly accurate, complete, or suitable for your specific purpose.

To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

1. Any indirect, incidental, special, consequential, or punitive damages;
2. Any loss of profits, revenue, data, or goodwill;
3. Any damages arising from or in connection with your use or inability to use the Service.

In any case, our total aggregate liability arising out of or relating to the Service shall not exceed the amount you actually paid to us for the Service during the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless 大池イノベーション株式会社 ("Oike Innovation", Japan), its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

1. Your use of the Service;
2. Your User Content;
3. Your violation of these Terms or any applicable law.

12. Modifications to the Terms

We may update these Terms from time to time.

If we make material changes, we will notify you by email or by posting a notice on the Service.

By continuing to use the Service after the updated Terms become effective, you agree to be bound by the revised Terms.

13. Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that:

1. You have violated these Terms; or
2. It is necessary to protect the Service or other users.

Upon termination, your right to use the Service will cease, but sections relating to limitation of liability, disclaimers, and intellectual property will continue to apply.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Fukuoka, Japan, unless otherwise required by applicable law.
